Terms of Service.
Agreement Between EIDDI Solutions LLC and the Client (Motor Carrier)
Nature of Relationship
EIDDI Solutions LLC (the "Company") operates the EIDDI Dispatch service brand and acts as a professional freight dispatch consultancy and administrative support provider for licensed motor carriers and independent owner-operators in the United States.
We are not a Motor Carrier as defined under 49 U.S.C. § 13102(14), nor a licensed Freight Broker. Our services are strictly limited to sourcing, negotiating, and coordinating freight on behalf of our carrier clients, who operate under their own MC Authority. All freight contracts are executed directly between the carrier and the respective shipper or broker.
Service Fees & Payment Terms
Clients agree to pay EIDDI Solutions LLC the service fee agreed upon during onboarding, structured as either a percentage of gross load revenue per dispatched load, or a negotiated flat weekly or monthly rate.
All fees are invoiced weekly in United States Dollars (USD) and are payable upon receipt of invoice. Payments are processed through secure, authorized payment channels under EIDDI Solutions LLC.
Acceptable Use
By engaging EIDDI Solutions LLC, the client agrees to:
• Maintain a valid MC Authority, operating authority, and Certificate of Insurance at all times
• Provide accurate and complete information during onboarding and throughout the service relationship
• Accept or reject loads in a timely manner as communicated by EIDDI dispatch consultants
• Settle all invoices within the agreed billing cycle
• Not engage EIDDI's dispatch services for any illegal, fraudulent, or unauthorized freight activity
Cancellation & Service Termination
Either party may terminate this service agreement at any time, subject to the following conditions:
• Client cancellation: A minimum of 7 calendar days written notice is required, submitted to support@eiddidispatch.com. Any in-progress loads at the time of notice will be completed and billed accordingly
• Outstanding invoices: All unpaid balances must be settled prior to cancellation being finalized
• Immediate termination by EIDDI: EIDDI Solutions LLC reserves the right to terminate service immediately, without notice, in cases of non-payment exceeding 30 days, fraudulent activity, or material breach of these Terms
Limitation of Liability
The carrier assumes full responsibility for the safe transport, handling, and delivery of all cargo dispatched under their MC Authority. EIDDI Solutions LLC is not liable for cargo damage, theft, delivery delays, accidents, regulatory violations, or disputes arising between the carrier and any broker or shipper.
EIDDI's total liability to the client, under any circumstance, shall not exceed the total dispatch service fees paid by the client in the 30-day period immediately preceding the claim.
Dispute Resolution
In the event of a dispute arising from these Terms or the services provided, both parties agree to attempt resolution in good faith through direct communication before initiating formal legal proceedings.
Unresolved disputes shall be subject to the exclusive jurisdiction of the courts of St. Petersburg, Florida, United States, in accordance with the laws of the State of Florida. Clients are encouraged to contact EIDDI Solutions LLC directly before initiating any chargeback or third-party payment dispute.
Amendments to These Terms
EIDDI Solutions LLC reserves the right to update or modify these Terms of Service at any time. Clients will be notified of material changes via email to the address on file at least 14 calendar days before changes take effect. Continued use of EIDDI's services after the effective date of any amendment constitutes acceptance of the revised Terms.

Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, United States of America. Any legal actions or proceedings arising from these Terms shall be brought exclusively before the courts located in St. Petersburg, Florida.
